Content Provider Agreement
This Content Provider Agreement (the “Agreement”) is between BookyDate.com (“BookyDate”, “we”, “us”, “our”) and you, the user who submits, publishes, or monetizes content on BookyDate.com and its related interfaces (the “Site”) (the “Content Provider”, “you”). By submitting or publishing content, by enabling paid content, subscriptions, or tips, or by accepting this Agreement, you agree to its terms.
This Agreement is in addition to our Terms, Privacy Policy, Copyright and DMCA Policy, and Anti-Trafficking and Anti-Exploitation Policy, which also apply. BookyDate is operated from Rua Senador Dantas 117, 20031-204 Rio de Janeiro, Brazil. Nothing here is legal advice.
1. Definitions
In this Agreement: “Content” means any image, video, text, audio, or other material you submit, upload, or publish on the Site. “Paid content” means Content or features you make available in exchange for payment, including subscriptions, pay-per-view, and tips. “Depicted person” means any individual who appears in or is identifiable from your Content.
2. Eligibility
You may act as a Content Provider only if you are at least 18 years old, have the legal capacity to enter into this Agreement, and have completed any age or identity verification we require. You must keep your account information accurate and up to date.
3. Age and consent of everyone depicted
You confirm that every Depicted person in your Content is an adult aged 18 or older, that you have verified their age using valid government-issued identification, and that each Depicted person has given informed, written consent to create and publish the Content and to its use as described in this Agreement. Content involving anyone under 18 is strictly prohibited and will be reported to the authorities.
4. Your representations and warranties
You represent and warrant that, for all Content you submit:
- you own or control all rights necessary to submit the Content and to grant the license below;
- the Content does not infringe any copyright, trademark, privacy, publicity, or other right of any person;
- you and every Depicted person are adults, and you hold valid age-verification and consent records for each of them;
- the Content does not violate any law or our Terms, Copyright and DMCA Policy, or Anti-Trafficking and Anti-Exploitation Policy;
- the Content is not the product of force, fraud, coercion, or trafficking; and
- all information you provide to us is accurate.
5. License you grant to BookyDate
You keep ownership of your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for technical purposes, display, distribute, and promote your Content on and through the Site, including creating previews, thumbnails, and marketing materials, and to sublicense these rights to our service providers solely to operate and promote the Site. This license lasts while your Content is on the Site and, for copies already distributed, for as long as needed to complete those transactions and meet our legal obligations.
6. Content standards and prohibited content
Your Content must comply with our Terms and policies. In particular, you must not submit Content that:
- involves anyone under 18 or that sexualizes minors in any way;
- depicts a non-consenting person, or was shared without the consent of every Depicted person;
- promotes or facilitates trafficking, exploitation, or forced labor;
- infringes the intellectual property or privacy rights of others;
- is illegal where you are or where the Site operates; or
- violates our Terms, Copyright and DMCA Policy, or Anti-Trafficking and Anti-Exploitation Policy.
7. Payments, earnings, and fees
Where you offer Paid content, the following apply:
- earnings are credited to your Wallet according to the prices set and our published commission;
- we deduct our commission and any applicable processing fees before crediting you;
- you are responsible for your own taxes and for reporting your income as required by law;
- payments may be delayed, withheld, or reversed in cases of chargebacks, refunds, suspected fraud, or policy violations; and
- we may set holding periods and payout thresholds, which we will make available to you.
8. Records and verification
You must keep, for as long as the law requires, records of the age verification and consent of every Depicted person, and provide them to us promptly on request. We may verify your identity and your Content at any time, and we may suspend monetization or remove Content if you cannot provide adequate records.
9. Moderation, removal, and suspension
We may review, moderate, restrict, remove, or refuse to publish any Content at our discretion, with or without notice, including where we believe it breaches this Agreement, our policies, or the law. We may suspend or terminate the accounts of repeat infringers.
10. Privacy and data
We handle personal data in accordance with our Privacy Policy. You must handle any personal data you obtain through the Site lawfully and only as permitted by our Terms and applicable law.
11. Term and termination
This Agreement applies for as long as you act as a Content Provider. You may stop at any time by ceasing to submit Content and disabling Paid content; we may suspend or terminate your status at any time for breach or as otherwise permitted. On termination, we will stop displaying your Content within a reasonable time, except where we must retain it to complete transactions or meet legal obligations. Sections that by their nature should survive, including warranties, records, indemnification, and limitation of liability, continue after termination.
12. Indemnification
You agree to indemnify and hold harmless BookyDate and its operators from any claim, loss, liability, or expense, including reasonable legal fees, arising from your Content, your breach of this Agreement, or your violation of any law or the rights of any person.
13. Disclaimers and limitation of liability
The Site is provided “as is”. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits or earnings, arising from this Agreement or your use of the Site. This does not exclude any liability that cannot be excluded under applicable law.
14. Independent relationship
You are an independent provider, not an employee, agent, or partner of BookyDate. Nothing in this Agreement creates an employment, partnership, or joint-venture relationship.
15. Governing law and disputes
This Agreement is governed by the laws of Brazil. The courts of the Judicial District of Rio de Janeiro, Brazil, have jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you where you live.
16. Changes to this Agreement
We may update this Agreement from time to time. We will post the updated version on this page with a new revision date, and your continued activity as a Content Provider means you accept the changes.
